1. Agreement to Terms

By accessing and using VentureFlow, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the service.

VentureFlow is a custom CRM platform developed by and for Pack Ventures to manage venture capital deal flow, portfolio companies, and team collaboration. Access is restricted to authorized Pack Ventures team members.

2. Service Description

VentureFlow provides the following features to authorized users:

• Deal pipeline management with customizable kanban boards
• Company and contact profile management
• Email synchronization with Microsoft Outlook via Microsoft Graph API
• Team collaboration and relationship mapping
• Analytics and reporting on deal flow metrics

We reserve the right to modify, suspend, or discontinue any feature of the service at any time without prior notice.

3. Eligibility and Access

3.1 Authorized Users

Access to VentureFlow is restricted to authorized Pack Ventures team members. You must:

• Be at least 18 years of age
• Have a valid Microsoft account authorized by Pack Ventures
• Authenticate using Microsoft OAuth 2.0
• Be affiliated with Pack Ventures as an employee, partner, or authorized contractor

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your Microsoft account credentials
• All activities that occur under your authenticated session
• Notifying Pack Ventures immediately of any unauthorized use of your account
• Logging out after each session, especially on shared devices

4. Acceptable Use Policy

4.1 Permitted Use

You may use VentureFlow only for legitimate business purposes related to Pack Ventures' venture capital operations.

4.2 Prohibited Activities

You agree NOT to:

• Share your access credentials or account with unauthorized individuals
• Use the service for any unlawful or fraudulent purpose
• Attempt to gain unauthorized access to other users' data or the system infrastructure
• Upload or transmit malicious code, viruses, or harmful software
• Interfere with or disrupt the service or servers
• Reverse engineer, decompile, or disassemble any portion of the service
• Scrape, crawl, or automatically extract data from the service
• Use the service to store or transmit infringing, libelous, or unlawful material
• Use the service to send spam or unsolicited communications

Violation of this Acceptable Use Policy may result in immediate termination of your access.

5. Intellectual Property Rights

5.1 Service Ownership

VentureFlow and all related software, design, text, graphics, and other content are owned by Pack Ventures and protected by copyright, trademark, and other intellectual property laws.

5.2 Your Data

You retain all rights to the data you enter into VentureFlow (company profiles, contacts, notes, etc.). By using the service, you grant Pack Ventures a license to store, process, and display your data solely for the purpose of providing the CRM service.

5.3 Feedback

If you provide feedback, suggestions, or ideas about VentureFlow, Pack Ventures may use this feedback to improve the service without any obligation or compensation to you.

6. Data and Privacy

Your use of VentureFlow is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the service, you consent to our data practices as described in the Privacy Policy.

• We use Microsoft OAuth 2.0 for authentication and never store your password
• Email synchronization requires your explicit consent via Microsoft Graph API permissions

7. Service Availability and Support

7.1 Availability

We strive to provide reliable service, but we do not guarantee uninterrupted access to VentureFlow. The service may be temporarily unavailable due to:

• Scheduled maintenance or updates
• Technical issues or server outages
• Security incidents or emergency maintenance
• Third-party service disruptions (Microsoft Azure, Microsoft Graph API)

7.2 Backups

We perform automated daily backups of all data. However, you should maintain your own copies of critical information. We are not liable for any data loss.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• VentureFlow is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• Pack Ventures disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose
• Pack Ventures shall not be liable for any indirect, incidental, special, or consequential damages
• Pack Ventures' total liability shall not exceed the fees paid by you (if any) in the 12 months prior to the claim
• We are not responsible for data loss, business interruption, or lost profits

9. Indemnification

You agree to indemnify and hold harmless Pack Ventures, its officers, employees, and partners from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your violation of these Terms of Service
• Your use or misuse of VentureFlow
• Your violation of any law or third-party rights
• Content or data you submit to the service

10. Termination

10.1 Termination by Pack Ventures

We reserve the right to suspend or terminate your access to VentureFlow at any time, with or without cause, including but not limited to:

• Violation of these Terms of Service
• End of your employment or affiliation with Pack Ventures
• Suspicious or fraudulent activity
• Extended period of inactivity

10.2 Effect of Termination

Upon termination:

• Your access to VentureFlow will be immediately revoked
• You must cease all use of the service
• Data you entered may be retained for business purposes or deleted at Pack Ventures' discretion
• Provisions regarding intellectual property, liability, and indemnification survive termination

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. The "Last Updated" date at the top indicates the most recent revision.

Your continued use of VentureFlow after changes are posted constitutes acceptance of the modified terms. Material changes will be communicated through the platform or via email to registered users.

12. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

Any disputes arising from these terms or your use of VentureFlow shall be resolved through binding arbitration in Seattle, Washington, except that Pack Ventures may seek injunctive relief in any court of competent jurisdiction.

13. Miscellaneous

13.1 Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Pack Ventures regarding VentureFlow.

13.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision.

13.4 Assignment

You may not assign or transfer these terms or your rights to use VentureFlow. Pack Ventures may assign these terms without restriction.
